DURING THE WARRANTY PERIOD, DOLBY WILL REPAIR, OR AT ITS OPTION REPLACE, COMPONENTS WHICH PROVE TO BE DEFECTIVE, PROVIDED THE PRODUCT OR APPLICABLE COMPONENT IS RETURNED (IF

REQUIRED), SHIPPED PREPAID (IF REQUIRED), TO DOLBY DIRECT OR VIA AN AUTHORIZED DEALER OR DISTRIBUTOR. DOLBY WARRANTS THAT REPLACED OR REPAIRED PRODUCTS OR PARTS THEREOF FOR A

PERIOD OF ONE HUNDRED AND TWENTY (120)CALENDAR DAYS FROM SHIPMENT OR FOR THE DURATION OF THE INITIAL WARRANTY APPLICABLE TO THE PRODUCT, WHICHEVER IS LONGER. DEFECTS

CAUSED BY MODIFICATIONS, PHYSICAL DAMAGES, MISUSE, ACCIDENTS, IMPROPER INSTALLATION, ENVIRONMENTAL OPERATING CONDITIONS OR CONNECTIVITY (AUDIO, NETWORK, OR ELECTRICAL),

UNAUTHORIZED CUSTOMER REPAIRS, OR ANY FURTHER DAMAGE CAUSED BY INADEQUATE PACKAGING FOR SERVICE RETURN ARE NOT COVERED BY THIS WARRANTY.

RETURNS: Products may not be returned to Dolby without prior authorization. All sales of Products are nal and no refunds shall be provided by Dolby for Products purchased by Customer. Customer

must contact Dolby or its authorized reseller to obtain a Return Material Authorization (RMA) number (if required). Any product returned to Dolby or its authorized reseller without proper authorization

will be returned to Customer at Customer's expense. For all returns of defective equipment, Customer must provide a full technical report describing the defect. This information will allow a

comprehensive repair to be carried out in a timely manner. The lack of technical details related to the defect could cause a delay in turnaround time and/or impact the warranty. If multiple items are being

returned, each line item must have a separate RMA asset number and a separate description or defect code. Multiple assets may be returned under one blanket RMA number. Software-only products are

also nonrefundable; if defective, such software-only products can only be exchanged for a like replacement.

LIMITATION OF PERIOD OF ACTION ON CONTRACT: No action, regardless of form, arising out of transactions under these terms may be brought by Customer, its successors, agents, and/or assigns, more

than one year from date of purchase.

LIMITATION OF LIABILITY: DOLBY'S LIABILITY, WHETHER IN CONTRACT, IN TORT, UNDER ANY WARRANTY, IN NEGLIGENCE, OR OTHERWISE, SHALL NOT EXCEED THE COST OF REPAIR OR REPLACEMENT OF THE

DEFECTIVE COMPONENTS OR ACCUSED INFRINGING DEVICES, AND UNDER NO CIRCUMSTANCES SHALL DOLBY BE LIABLE FOR THE COST OF SUBSTITUTE PRODUCTS, INCIDENTAL, SPECIAL, DIRECT, INDIRECT,

OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGE TO DATA, SOFTWARE OR RECORDED AUDIO OR VISUAL MATERIAL), COST OF DEFENSE, OR LOSS OF USE, REVENUE, BUSINESS OR

PROFIT, EVEN IF DOLBY OR ITS AGENTS HAVE BEEN ADVISED, ORALLY OR IN WRITING, OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS CLAUSE SHALL OPERATE OR BE DEEMED TO OPERATE TO

EXCLUDE OR LIMIT LIABILITY TO A GREATER EXTENT THAN IS PERMITTED BY LAW. Should any provision of these Equipment Terms of Sale be held to be void, invalid, or inoperative, then such provision and

the other related provisions of these Equipment Terms of Sale shall be deemed automatically adjusted to conform to the requirements for validity declared at such time and to, as closely as legally

permissible, reect the original intent of Dolby and Customer. If such provision is of such a nature that it cannot be so adjusted, the provision shall be deemed deleted from these Equipment Terms of Sale

as though it had never been included herein. In either case, except as set forth above, the remaining provisions of these Equipment Terms of Sale shall not be aﬀected.

PREMIUM SERVICE: In addition to the Product Customer may be entitled to purchase Premier Service (if oﬀered) as dened in the applicable Policy. The policies are located at

http://www.dolby.com/us/en/professional/warranty-and-maintenance-policies.html . By purchasing Premier Service, Customer shall be entitled to: 1) replacement for defective Products in which case

Dolby will pay for associated shipping, related duties, and taxes on replacement product and if applicable, the return of the defective product; and 2) technical support for the Product including response

by Dolby within reasonable guidelines specied by Dolby from time to time. All fees for such services are non-refundable.

GOVERNING LAW: The validity, interpretation, and performance of these Equipment Terms of Sale shall be governed by and construed in accordance with the laws, and Customer agrees to submit to the

jurisdiction of the court, set forth below based on the applicable region that Customer is located:

All agreements will be interpreted and construed in accordance with the English language. The parties agree that the UN Convention for the International Sale of Goods will have no force or eﬀect on

SOFTWARE LICENSE: If any product purchased includes software, such software shall be subject to the license agreement accompanying such software (The End User Agreement). If applicable, this

software is commercial computer software developed exclusively at private expense, and is provided to the US government only as commercial computer software (with “Restricted Rights,” as applicable).

Use, duplication, and disclosure by civilian agencies of the US government shall be in accordance with the terms of this Agreement and FAR 52.227-19(b), or its current equivalent. Consistent with DFARS

227.7202 or its current equivalent, use, duplication, and disclosure by DOD agencies is subject solely to the terms of this Agreement.

PRODUCT END OF LIFE INFORMATION: Dolby products have been designed and built to give many years of service. When such products eventually reach the end of their serviceable life, they should be

disposed of in accordance with local or international legislation.

RETOURS – Les produits ne peuvent pas être renvoyés à Dolby sans autorisation préalable. Toute vente de produit est ﬁnale et aucun remboursement ne sera octroyé par Dolby pour les produits achetés

par le Client. Le Client doit contacter Dolby ou un revendeur agréé pour obtenir un numéro d'autorisation de retour/RMA (si requis par Dolby ou par ce revendeur). Tout produit renvoyé à Dolby ou à un

revendeur agréé sans autorisation appropriée sera renvoyé au Client aux frais du Client. En cas de retour d'équipement défectueux, le Client doit fournir un rapport technique exhaustif décrivant le ou les

défauts. Ces informations permettront de réparer intégralement l'équipement dans un délai raisonnable. L'absence de détails techniques relatifs décrivant le ou les défauts défaut peut entraîner un retard

de réparation et/ou impacter la garantie. Si plusieurs produits sont renvoyés, chacun d'entre eux doit être associé à un numéro d'autorisation de retour (RMA) distinct et à un code de défaut spéciﬁque ou

à une description de défaut(s) spéciﬁque. Toutefois, plusieurs produits peuvent être renvoyés sous un seul numéro d'autorisation de retour (RMA). Les produits exclusivement logiciels ne sont pas

remboursables ; en cas de défaut, ces produits logiciels sont limités à un échange standard.

PRÉVENUS, ORALEMENT OU PAR ÉCRIT, DE L'ÉVENTUALITÉ DE TELS DOMMAGES. AUCUN TERME DE LA PRÉSENTE CLAUSE NE SAURAIT ÊTRE CONSIDÉRÉ COMME UNE EXCLUSION OU LIMITATION DE

RESPONSABILITÉ AU-DELÀ DE CE QUI EST AUTORISÉ PAR LA LOI. Au cas où une quelconque des dispositions de ces Conditions de vente d'équipement serait jugée nulle, invalide ou inexécutable, cette

disposition et les autres dispositions associées de ces Conditions de vente d'équipement seront considérées comme automatiquement adaptées de manière à respecter les exigences de validité déclarées

au moment considéré et, dans la mesure autorisée par les lois applicables, de manière à reﬂéter l'intention initiale de Dolby et du Client. Si cette disposition est d'une nature telle qu'elle ne peut pas être

SERVICE PREMIER – En complément du Produit, le Client a la possibilité d'acheter le service Premier (s'il est proposé), conformément aux termes de la Politique applicable. Pour consulter nos politiques :

défectueux. Dans ce cas, Dolby prend en charge les frais d'expédition associés, les éventuels frais de douane et taxes sur le Produit de remplacement et, le cas échéant, les frais de retour du ou des

Produits défectueux. 2) Support technique pour le Produit, y compris réponse par Dolby dans les conditions raisonnables spéciﬁées par Dolby à intervalles réguliers. Les frais du service Premier sont non

remboursables.

LOIS APPLICABLES – La validité, l'interprétation et l'exécution de ces Conditions de vente d'équipement sont exprimées et régies en conformité avec les lois applicables, et le Client accepte de se soumettre

à la compétence du tribunal mentionné ci-dessous en fonction de la zone géographique dans laquelle le Client réside au moment considéré.

LICENCE LOGICIELLE – Si un produit acheté inclut un ou plusieurs logiciels, l'utilisation de ce ou ces logiciels sera régie par le contrat de licence (EULA/CLUF) accompagnant ce produit. Le cas échéant, ce ou

ces logiciels sont des logiciels commerciaux développés exclusivement sur fonds privés et fournis par le gouvernement des États-Unis uniquement en tant que logiciels commerciaux (avec « Droits

restreints », le cas échéant). L'utilisation, la duplication et la divulgation de ce ou ces logiciels par des entités civiles du gouvernement des États-Unis devra se faire conformément aux conditions du

INADEGUATO DURANTE LA RESTITUZIONE PER LA RIPARAZIONE, NON SONO COPERTI DALLA PRESENTE GARANZIA.

RESI: I prodotti non possono essere resi a Dolby senza previa autorizzazione. Tutte le vendite di prodotti sono deﬁnitive e Dolby non fornirà alcun rimborso per prodotti acquistati dal Cliente. Il Cliente

dovrà contattare Dolby o un rivenditore autorizzato per ottenere un numero RMA di autorizzazione al reso dei materiali (se richiesto). Tutti i prodotti resi a Dolby o a un rivenditore autorizzato senza

un'adeguata autorizzazione verranno rispediti al Cliente a spese del Cliente. In caso di resi di prodotti difettosi, il Cliente dovrà fornire un resoconto tecnico con la descrizione dettagliata del difetto. Queste

informazioni consentiranno di eseguire l'intervento di riparazione nel modo più completo e tempestivo possibile. La mancanza di dettagli tecnici sul difetto del prodotto potrebbe comportare ritardi nei

tempi di lavorazione e/o avere effetti sulla garanzia. Se vengono resi più articoli, ogni singolo articolo dovrà essere corredato da un numero RMA e da una descrizione o codice del difetto distinti. È possibile

restituire più prodotti con un unico numero RMA generale. I prodotti software non sono rimborsabili; se difettosi, essi potranno essere soltanto sostituiti con prodotti analoghi.

RÜCKSENDUNGEN: Produkte dürfen nur nach vorheriger Autorisierung an Dolby zurückgesendet werden. Jeder Produktverkauf ist endgültig und Dolby gewährt keine Erstattungen für vom Kunden

gekaufte Produkte. Der Kunde muss von Dolby oder einem autorisierten Händler (sofern erforderlich) eine Rücksendenummer (RMA-Nummer) anfordern. Produkte, die ohne ordnungsgemäße

Autorisierung an Dolby oder einen autorisierten Händler zurückgesendet werden, werden auf Kosten des Kunden an den Kunden zurückgeschickt. Der Kunde muss für alle als defekt eingeschickten Geräte

eine vollständige technische Beschreibung des Defekts liefern. Diese Angaben sind notwendig, um in angemessener Zeit eine vollständige Reparatur durchzuführen. Eine ungenügende Detailgenauigkeit

in der Beschreibung des Defekts kann zu einer verlängerten Bearbeitungszeit und/oder Einschränkungen der Garantieansprüche führen. Falls mehrere Gegenstände zurückgeschickt werden, müssen für

jedes davon eine eigene Rücksendenummer und eine eigene Fehlerbeschreibung bzw. der Fehlercode vorliegen. Mehrere Produkte können unter einer übergreifenden Rücksendenummer zurückgeschickt

werden. Ausschließlich aus Software bestehende Produkte sind nicht erstattungsfähig. Im Falle eines Defekts können derartige Softwareprodukte nur gegen einen gleichwertigen Ersatz getauscht

werden.

ZEITLICHE BEGRENZUNG DER ANSPRÜCHE AUS DEM VERTRAG: Der Kunde, seine Nachfolger, Vertreter oder Bevollmächtigten dürfen nach mehr als einem Jahr nach Kaufdatum keine wie auch immer

gearteten Ansprüche aufgrund von Transaktionen unter diesen Vertragsbedingungen stellen.

HAFTUNGSBESCHRÄNKUNG: DIE HAFTUNG VON DOLBY – EGAL, OB AUFGRUND VERTRAGLICHER ANSPRÜCHE, UNERLAUBTER HANDLUNGEN, GARANTIE, FAHRLÄSSIGKEIT ODER AUS ANDEREN GRÜNDEN –

IST BEGRENZT AUF DIE KOSTEN FÜR DIE REPARATUR ODER DEN AUSTAUSCH DER DEFEKTEN KOMPONENTEN ODER DER BEANSTANDETEN GERÄTE UND DOLBY HAFTET UNTER KEINEN UMSTÄNDEN FÜR DIE

KOSTEN VON ERSATZPRODUKTEN, FÜR NEBEN- ODER FOLGESCHÄDEN, BESONDERE, DIREKTE ODER INDIREKTE SCHÄDEN (INSBESONDERE SCHÄDEN AN DATEN, SOFTWARE, TON- UND

BILDAUFZEICHNUNGEN), RECHTLICHEN BEISTAND, NUTZUNGSAUSFALL, ENTGANGENE EINNAHMEN, GESCHÄFTSABSCHLÜSSE ODER GEWINNE, AUCH WENN DOLBY ODER SEINE BEVOLLMÄCHTIGTEN

MÜNDLICH ODER SCHRIFTLICH AUF DIE MÖGLICHKEIT SOLCHER SCHÄDEN HINGEWIESEN WURDEN. KEIN TEIL DIESER BESTIMMUNG SOLL DIE HAFTUNG ÜBER DAS GESETZLICH ERLAUBTE MASS HINAUS

AUSSCHLIESSEN ODER BEGRENZEN ODER IN DIESER WEISE VERSTANDEN WERDEN. Sollte sich eine Bestimmung in diesen Vertragsbedingungen als nichtig, ungültig oder nicht durchsetzbar erweisen, gilt

diese Bestimmung und gelten andere damit zusammenhängende Bestimmungen dieser Vertragsbedingungen automatisch als dahingehend angepasst, dass sie die Gültigkeitsanforderungen zum

jeweiligen Zeitpunkt erfüllen und so weit wie nach dem Gesetz möglich die ursprünglichen Absichten von Dolby und dem Kunden wiedergeben. Wenn eine solche Bestimmung nicht in dieser Weise

angepasst werden kann, wird sie als aus diesen Vertragsbedingungen gestrichen und nicht vorhanden betrachtet. In jedem Fall bleiben die übrigen Bestimmungen dieser Vertragsbedingungen, außer wie

oben beschrieben, unberührt.

PREMIUM-SERVICE: Der Kunde kann zu seinem Produkt möglicherweise auch einen Premier-Service (sofern angeboten) erwerben, wie er in den entsprechenden Bedingungen beschrieben ist. Diese

Bedingungen sind hier nachzulesen: http://www.dolby.com/us/en/professional/warranty-and-maintenance-policies.html. Durch den Erwerb des Premier-Service erhält der Kunde folgende Ansprüche: 1)

Austausch defekter Produkte, wobei Dolby die Versandkosten, Zölle und Steuern für das Austauschprodukt und, falls zutreffend, die Rücksendung des defekten Produkts übernimmt, und 2) technischen

Support für das Produkt, wozu eine Reaktion von Dolby innerhalb eines angemessenen Zeitraums gehört, der von Dolby von Zeit zu Zeit deﬁniert wird. Kosten für diese Services werden nicht erstattet.

GELTENDES RECHT: Die Gültigkeit, Auslegung und Erfüllung dieser Vertragsbedingungen unterliegt dem geltenden Recht und der Kunde erkennt den in der folgenden Tabelle für seinen Standort

DURANTE EL PERIODO DE GARANTÍA, DOLBY REPARARÁ, O A SU ELECCIÓN REPONDRÁ, LOS COMPONENTES QUE SE DEMUESTRE QUE ESTÁN DEFECTUOSOS, SIEMPRE QUE EL PRODUCTO O COMPONENTE

CORRESPONDIENTE SEA REGRESADO (SI ELLO SE REQUIERE), CON FRANQUEO PREVIAMENTE PAGADO (SI ELLO SE REQUIERE), DIRECTAMENTE A DOLBY O POR MEDIO DE UN DISTRIBUIDOR O

CONCESIONARIO AUTORIZADO. DOLBY GARANTIZA LOS PRODUCTOS O LAS PARTES DE LOS MISMOS REEMPLAZADAS O REPARADAS DURANTE UN PERIODO DE CIENTO VEINTE (120) DÍAS CALENDARIO A

PARTIR DEL ENVÍO O POR LA DURACIÓN DE LA GARANTÍA INICIAL CORRESPONDIENTE AL PRODUCTO, CUALQUIERA QUE SEA EL PERIODO MÁS LARGO. LOS DEFECTOS CAUSADOS POR MODIFICACIONES,

DAÑOS FÍSICOS, USO INDEBIDO, ACCIDENTES, INSTALACIÓN INCORRECTA, CONDICIONES AMBIENTALES DE FUNCIONAMIENTO, O CONECTIVIDAD (DE AUDIO, RED O ELÉCTRICA), REPARACIONES DE CLIENTES

NO AUTORIZADOS, O CUALQUIER DAÑO ADICIONAL CAUSADO POR EL EMPAQUE INADECUADO EN EL ENVÍO PARA SERVICIO NO ESTÁN CUBIERTOS POR ESTA GARANTÍA.

DEVOLUCIONES: No se pueden devolver productos a Dolby sin previa autorización. Todas las ventas de los productos son deﬁnitivas y Dolby no proporcionará ningún reembolso por los Productos

comprados por el Cliente. El Cliente debe ponerse en contacto con Dolby o su concesionario autorizado para obtener un número de Autorización de Devolución de Material (RMA, por sus siglas en inglés), si

ello se requiere. Cualquier producto devuelto a Dolby o a su concesionario autorizado sin la aprobación correspondiente se devolverá al Cliente, y éste deberá cubrir los gastos del envío. Para todas las

devoluciones de equipo defectuoso, el Cliente debe proporcionar un informe técnico completo describiendo el defecto. Esta información permitirá que se realice una reparación integral de manera

oportuna. La falta de detalles técnicos relacionados con el defecto podrían causar un retraso en el tiempo de reparación y/o afectar la garantía. Si se devuelven varios artículos, cada línea debe tener un

número de RMA separado, y una descripción o código de defecto aparte. Se pueden devolver varios bienes con un solo numero RMA que los cubra a todos. Los productos de exclusivamente de software

también son no reembolsables; si están defectuosos, dichos productos únicamente pueden intercambiarse por un reemplazo similar.

PLAZO DE PRESCRIPCIÓN DE ACCIÓN SOBRE UN CONTRATO: No se admite ninguna acción, sin importar la forma, derivada de las transacciones bajo estos términos por parte del Cliente, sus sucesores,

agentes, y/o cesionarios, después de un año de la fecha de compra.

LIMITACIÓN DE RESPONSABILIDAD: LA RESPONSABILIDAD DE DOLBY, YA SEA EN CONTRATO, EN AGRAVIO, BAJO CUALQUIER GARANTÍA, EN NEGLIGENCIA, O DE OTRA FORMA, NO EXCEDERÁ EL COSTO DE

REPARACIÓN O SUSTITUCIÓN DE LOS COMPONENTES DEFECTUOSOS O DISPOSITIVOS ACUSADOS DE INFRACCIÓN, Y BAJO NINGUNA CIRCUNSTANCIA SERÁ DOLBY RESPONSABLE POR EL COSTO DE

PRODUCTOS SUSTITUTOS, DAÑOS INCIDENTALES, ESPECIALES, DIRECTOS, INDIRECTOS O CONSECUENTES (INCLUIDOS PERO NO LIMITADOS A PERJUICIOS A DATOS, SOFTWARE O AUDIO O MATERIAL VISUAL

GRABADOS), EL COSTO DE LA DEFENSA, O PÉRDIDA DE USO, INGRESOS, NEGOCIO O UTILIDADES, AUN CUANDO DOLBY O SUS AGENTES HAYAN SIDO NOTIFICADOS, DE FORMA ORAL O POR ESCRITO, DE LA

POSIBILIDAD DE DICHOS DAÑOS. NADA EN ESTA CLÁUSULA PUEDE FUNCIONAR O SER CONSIDERADA PARA QUE FUNCIONE EL EXCLUIR O LIMITAR LA RESPONSABILIDAD EN MAYOR MEDIDA DE LA QUE SE

PERMITE POR LEY. En caso de que cualquiera de las disposiciones de estos Términos de venta de equipo sea considerado nulo, inválido o inoperativo, dicha disposición, así como las demás disposiciones

relacionadas con estos Términos de venta de equipo se considerarán que se ajustan automáticamente para cumplir con los requisitos en cuanto a su validez declarados en ese momento y para, tan

rigurosamente como la ley lo permita, reﬂejen la intención original de Dolby y el Cliente. Si dicha disposición es de tal naturaleza que no se puede ajustar, la disposición se considerará eliminada de estos

Términos de venta de equipo, como si nunca hubiera sido incluida en los mismos. En cualquiera de los casos, excepto según lo establecido anteriormente, las disposiciones restantes de estos Términos de

venta de equipo no serán afectadas.

SERVICIO PREMIUM: Además del Producto, el Cliente puede estar autorizado a comprar el Servicio Premium (si éste se ofrece) tal y como se deﬁne en la Política correspondiente. Encontrará las políticas en

http://www.dolby.com/us/en/professional/warranty-and-maintenance-policies.html. Al comprar el Servicio Premier, el Cliente tendrá derecho a: 1) reemplazo por los Productos defectuosos en cuyo caso

Dolby pagará por el envío asociado, los derechos e impuestos relacionados con el reemplazo del producto y si corresponde, la devolución del producto defectuoso; y 2) asistencia técnica para el Producto

incluida la respuesta de Dolby dentro de la normativa razonable especiﬁcada por Dolby de vez en cuando. Todos los costos por dichos servicios son no reembolsables.

LEGISLACIÓN APLICABLE: La validez, interpretación y ejecución de estos Términos de venta de equipo se regirán e interpretarán de acuerdo con las leyes, y el Cliente acepta someterse a la jurisdicción del

juzgado, establecido a continuación basado en la región correspondiente en la que esté localizado el Cliente:

LICENCIA DE SOFTWARE: Si cualquier producto comprado incluye software, dicho software estará sujeto al acuerdo de licencia que lo acompañe (El acuerdo del usuario ﬁnal). Si corresponde, este software

esun programa informático comercial desarrollado exclusivamente con fondos privados, y se proporciona al gobierno de EE. UU. únicamente como tal (con "Derechos restringidos", según sea pertinente).

El uso, la duplicación y la divulgación por parte de las agencias civiles del gobierno de EE. UU. serán conforme a los términos de este Acuerdo y FAR 52.227-19(b), o su equivalente actual. En coherencia con

DFARS 227.7202 o su equivalente actual, el uso, la duplicación y la divulgación por parte de las agencias del Ministerio de Defensa Estadounidense están sujetos únicamente a los términos de este

Acuerdo.
