electronicform)toanythirdparty.
Section 3. Backup.Youmaymakeareasonable
numberofcopiesof the Softwareforbackupand
archivalpurposes.
Section 4. Updates.Anysoftwareprovidedtoyou
bySynologyormadeavailableontheSynologyweb
siteatwww.synology.com("WebSite")thatupdates
orsupplementstheoriginalSoftwareisgoverned
bythisEULA unlessseparatelicensetermsare
provided with such updates or supplements, in
whichcase,suchseparatetermswillgovern.
Section 5. License Limitations. Thelicenseset
forthinSection1appliesonlytotheextentyouhave
orderedandpaidfor theProductanditstatesthe
entiretyofyourrightswithrespect to theSoftware.
Synology reservesallrightsnot expressly granted
toyouinthisEULA.Withoutlimitingtheforegoing,
you will not, and you willnotauthorize or permit
anythirdpartyto: (a)usetheSoftwareforany
purposeotherthanin connection withtheProduct;
(b)license,distribute,lease,rent,lend, transfer,
assignorotherwisedispose oftheSoftwareor
usetheSoftwarein any commercialhostedor
servicebureauenvironment;(c)reverseengineer,
decompile,disassembleorattempttodiscover the
sourcecodeforor anytradesecretsrelatedtothe
Software,exceptandonlyto the extentthatsuch
activityisexpresslypermittedby applicablelaw
notwithstandingthislimitation;(d)adapt, modify,
alter,translateorcreateanyderivativeworksofthe
Software;(e)remove,alterorobscureanycopyright
noticeorotherproprietaryrights notice onthe
Product;or(f)circumventorattempt to circumvent
anymethodsemployedbySynologyto control
accesstothecomponents, featuresorfunctionsof
theProductorSoftware.
Section 6. Open Source. The Software may
containcomponentslicensedtoSynologyunderthe
GNUGeneralPublicLicense("GPLComponents"),
currentlyavailableathttp://www.gnu.org/licenses/
gpl.html.ThetermsoftheGPLwillcontrolsolely
withrespecttothe GPLComponentstotheextent
thatthisEULAconflictswiththerequirements
of the GPL with respect to your use of the GPL
Components,and,insuch event,youagreetobe
boundbytheGPLwithrespecttoyouruseofsuch
components.
Section 7. Audit.Synologywillhave the rightto
audityourcompliance withthetermsofthisEULA.
Youagreetogrant access toSynologytofacilities,
equipment,books,recordsanddocumentsandto
otherwisereasonablycooperate with Synology in
ordertofacilitateanysuchaudit.
Section 8. Ownership. TheSoftwareisvaluable
propertyofSynologyanditslicensors and is
protectedbycopyrightandotherintellectual
propertylawsandtreaties.Synologyoritslicensors
ownallright,titleandinterestinandtotheSoftware
andallcopyrightandotherintellectualproperty
rightsintheSoftware.
Section 9. Limited Warranty.Synologywarrants
that for a period of ninety (90) days after either
your(a)installationof theSoftwareonProducts
thatdonotinclude pre-installedSoftwareor
(b)useofaProductthatincludespre-installed
Software,asapplicable,(the"WarrantyPeriod"),the
Softwarewillsubstantiallyconform toSynology's
publishedspecificationsfortheSoftware,ifany,
orotherwisesetforthonthe WebSite.Synology
willusecommerciallyreasonable effortsto,in
Synology'ssolediscretion,either correctanysuch
nonconformityintheSoftwareorreplaceany
Software that fails to comply with the foregoing
warranty,providedthatyougiveSynologywritten
noticeofsuchnoncompliance withintheWarranty
Period.Theforegoingwarrantydoesnotapply
toanynoncomplianceresultingfrom any: (w)
use,reproduction,distribution ordisclosurenotin

Section 16. Termination.Withoutprejudice to
anyotherrights,SynologymayterminatethisEULA
ifyoudonotabidebytheterms and conditions
containedherein.In such event,youmustcease
useoftheSoftware and destroyallcopiesofthe
Softwareandallofitscomponentparts.
Section 17. Assignment.You maynottransfer
orassignyourrights underthisEULAtoany third
party.Anysuchtransferorassignmentinviolation
oftheforegoingrestrictionwillbevoid.
Section 18. Applicable Law.Unlessexpressly
prohibitedbylocallaw, thisEULAisgoverned
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The1980U.N.ConventiononContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
Section 19. Dispute Resolution.Anydispute,
controversyorclaimarising out oforrelatingto
thisWarranty,theSoftwareorservicesprovided
bySynologywithrespecttotheSoftware or the
relationshipbetweenyouandSynology willbe
resolvedexclusivelyandnallybyarbitrationunder
thecurrentcommercialrulesoftheAmerican
ArbitrationAssociation ifyouresideintheUnited
States, except as otherwise provided below. In
suchcases,thearbitrationwillbeconductedbefore
asinglearbitrator,andwillbelimitedsolelytothe
disputebetweenyouandSynology.Thearbitration,
oranyportionofit, will notbeconsolidatedwith
anyotherarbitrationandwillnot be conductedon
aclass-wideorclassactionbasis.Thearbitration
shallbeheldinKingCounty, Washington,U.S.A.
bysubmissionofdocuments,bytelephone,online
orinpersonas determinedbythearbitratorat
therequestoftheparties.The prevailingpartyin
anyarbitrationorlegal actionoccurringwithinthe
UnitedStatesorotherwiseshall receive allcosts
andreasonableattorneys’fees,including any
arbitration fee paid by the prevailing party.Any
decisionrenderedinsucharbitrationproceedings
willbefinalandbindingontheparties, and
judgmentmaybeentered thereoninanycourtof
competentjurisdiction.You understand that,inthe
absenceofthisprovision, you wouldhavehada
righttolitigateanysuchdispute,controversyor
claiminacourt,includingtherighttolitigateclaims
on a class-wide or class-action basis, and you
expresslyandknowinglywaives those rightsand
agreestoresolveany disputesthroughbinding
arbitrationinaccordancewith theprovisionsof

UnitedStates,anydispute, controversyorclaim

arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedingsshallbe conducted

Chinese.The arbitration award shall befinaland
bindingonthepartiesand may beenforcedinany
courthavingjurisdiction. NothinginthisSection
shallbedeemedtoprohibitorrestrictSynologyfrom
seekinginjunctiverelieforseekingsuchotherrights
andremediesasitmayhave at laworequityfor
anyactualorthreatenedbreachofanyprovisionof
thisEULArelatingtoSynology'sintellectualproperty
rights.
Section 20. Attorneys' Fees.Inanyarbitration,
mediation,orotherlegal actionorproceedingto
enforcerightsorremediesunder this EULA,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
Section 21. Severability.Ifanyprovision ofthis
EULAisheldbyacourtofcompetentjurisdictionto
beinvalid,illegal,orunenforceable,theremainder
ofthisEULAwillremaininfullforceandeffect.
Section 22. Entire Agreement. This EULA
setsforththeentireagreementof Synology and
youwithrespectto the Softwareandthesubject
matterhereofandsupersedesallprior and
contemporaneousunderstandingsandagreements
w h e t h e r w r i t t e n o r o r a l . N o a m e n d m e n t ,
modificationorwaiverof any oftheprovisionsof
thisEULA willbevalidunlesssetforthin awritten

Section 2. Limited Warranty and Remedies
2.1 Limited Warranty.SubjecttoSection2.7,
SynologywarrantstoCustomerthat each Product
(a)willbefree of materialdefectsinworkmanship
and(b)undernormal usewillperformsubstantially
inaccordancewithSynology's published
specificationsfortheProductduringtheWarranty
Period.SynologywarrantstheSoftwareassetforth
intheaccompanyingenduserlicenseagreement
providedwiththeProduct,ifany.
2.2 Product Registration.Customersmay
registerProductswithSynologyandmay obtain
themanufacturingdatefor CategoryIProducts,
CategoryIIProductsandCategoryIIIProductsat
the WebSite.The failureto register a Productat
theWebSitewill not diminish thewarrantyrights
setforthinSection2.1.Synologyisnotresponsible
forCustomer'sfailuretoidentifythemanufacturing
dateofanyProduct.
2.3 Exclusive Remedy.IfCustomergives
noticeofnoncompliancewith anyofthewarranties
setforthinSection2.1 within theapplicable
WarrantyPeriodinthemannersetforth below,
then,uponverificationofthenoncomplianceby
Synology,Synologywill,atSynology'soption:
(a)usecommerciallyreasonable effortstorepair
theProduct,or(b) replace thenoncomplying
Productorpartthereofuponreturnofthecomplete
Productinaccordancewith Section2.4The
foregoingsetsforthSynology'sentireliabilityand
Customer'ssoleandexclusive remedy forany
breachofwarrantyunder Section 2.1oranyother
defectordeficiencyin the Product.Customer
willreasonablyassistSynologytodiagnoseand
validateanynonconformitywiththeProduct.The
warrantysetforthin Section 2.1doesnotinclude:
(1)anywarrantyrelating totheSoftware;(2)
physicalinstallationorremovaloftheProduct
fromCustomer'ssite;(3) visitstoCustomer'ssite;
(4)labornecessaryto effectrepairsorreplace
defectivepartsotherthanduring Synology's or
itscontractedserviceproviders'normallocal
businesshours,exclusiveofweekendsandservice
providers’holidays;(5)anyworkwithanythirdparty
equipmentorsoftware;(6)anywarrantyofthehard
diskifinstalledbyCustomeroranyotherthirdparty;
or(7)anywarranty ofcompatibilitywiththehard
disk.
2.4 Return.AnyProductreturnedbyCustomer
underSection2.3mustbeassignedaReturn
MerchandiseAuthorization ("RMA")numberby
Synologybeforeshipmentand mustbereturned
in accordancewith Synology'sthen current RMA
procedures.Customermaycontactanyauthorized
SynologydistributororresellerorSynologySupport
to obtain assistance in obtaining an RMA, and
mustprovideproofof purchase andproductserial
numberwhenaskingforsuchassistance.For
warrantyclaims,Customermustreturnthecomplete
ProducttoSynologyinaccordancewiththisSection
2.4tobeeligiblefor coverage underthisWarranty.
AnyProductreturnedwithoutanRMAnumber,or
anyProductthathasbeen disassembled (except
underthedirectionofSynology)willberefusedand
returnedtoCustomer atCustomer'sexpense.Any
Productthathasbeen assignedaRMAnumber
mustbereturnedin the sameconditionasitwas
receivedfromSynologytotheaddress designated
bySynology,freightpre-paid,inpackagingsufcient
toprotectthecontentsthereof and withtheRMA

numberprominentlydisplayedontheoutsideofthe
box.Customerisresponsibleforinsuranceandrisk
oflosswithrespecttoreturneditemsuntiltheyare
properlyreceivedbySynology.AProductissued
aRMAnumbermustbereturnedwithinfteen(15)
daysafterissuanceoftheapplicableRMAnumber.
2.5 Replacement by Synology. If Synology
electstoreplaceany Product underthisWarranty
setforthinSection 2.1, thenSynologywillshipa
replacementProductatSynology's expense via
theshippingmethodselectedbySynologyafter
receiptofthenonconformingProductreturned
inaccordancewithSection2.4and validation by
SynologythattheProductdoesnotconform to
thewarranty.ReplacementProductwillbe new
orserviceablyused,comparableinfunctionand
performancetotheoriginal Product andwarranted
for theremainderof theoriginal Warranty Period
orthirty(30)days afteritisshippedtoCustomer,
whicheverperiodislongerAnyProductfoundby
Synologytobenon-defectivewillbereturnedto
Customer.
2.6 Support.DuringtheWarrantyPeriod,
Synologywillmakeavailable to Customerthe
supportservices.Followingtheexpirationofthe
applicableWarrantyPeriod,supportforProducts
may be available from Synology upon written
request.
2.7 Exclusions.Theforegoing warranties and
warrantyobligationsdonotapplyto any Product
that(a)hasbeeninstalledorusedinamannernot
speciedordescribedintheProductspecications;
(b)hasbeenrepaired,modiedoralteredbyanyone
otherthanSynologyor itsagentordesignee;(c)
hasbeeninanywaymisused,abused,ordamaged;
(d)hasbeenused withitemsnotprovidedby
Synologyotherthanthehardwareorsoftwarefor
whichtheProductis designed;or(e)otherwise
failstoconformto the Productspecificationsand
suchfailureisattributabletocausesnot within or
underSynology'scontrol.Further, theforegoing
warrantieswillbevoidif(1)Customerdisassembles
theProductexceptasauthorizedby Synology;
(2)Customerfailstoimplement any correction,
modification,enhancement,improvementorother
updatemadeavailabletoCustomerbySynology;
or(3)Customerimplements, installs orusesany
correction,modication,enhancement,improvement
orotherupdatemadeavailablebyany third party.
ThewarrantysetforthinSection2.1willterminate
uponCustomer'ssaleortransferoftheProducttoa
thirdparty.

applytoCustomer.
Section 4. Miscellaneous
4.1 Proprietary Rights.TheProductand
anyaccompanyingSoftwareanddocumentation
providedwiththeProductincludeproprietaryand
intellectualpropertyrightsof Synologyanditsthird
partysuppliersandlicensors.Synologyretainsand
reservesallright,title,andinterestintheintellectual
propertyrightsoftheProduct,andnotitleto or
ownershipofanyintellectual propertyrightsinor
totheProduct,any accompanyingSoftwareor
documentationandanyothergoodsprovidedunder
thisWarrantyistransferred toCustomerunderthis
Warranty.Customerwill(a)complywiththeterms
andconditionsoftheSynologyenduserlicense
agreementaccompanyinganySoftware furnished
bySynologyoran authorizedSynologydistributor
orreseller;and(b)notattempttoreverseengineer
anyProductorcomponentthereoforaccompanying
Softwareorotherwisemisappropriate,circumventor
violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment.Customerwillnotassign any
ofitsrightsunderthisWarrantydirectly,byoperation
oflaworotherwise,withoutthepriorwrittenconsent
ofSynology.
4.3 No Additional Terms.Exceptasexpressly
permitted by this Warranty, neither party will be
boundby,andeachpartyspecificallyobjectsto,
anyterm,conditionor other provisionthatconicts
withtheprovisionsofthis Warrantythatis made
bytheotherpartyin any purchaseorder,receipt,
acceptance,confirmation,correspondenceor
otherwise,unlesseachpartyspecically agrees to
suchprovisionin writing.Further,if thisWarranty
conictswithanytermsorconditions of anyother
agreemententeredintobytheparties with respect
totheProduct,thisWarrantywillprevailunlessthe
otheragreementspecicallyreferencesthesections
ofthisWarrantythatitsupersedes.
4.4 A p pl ic a b l e L aw. U n l e s s e x p r e s s l y
prohibitedbylocallaw, this Warrantyis governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The1980U.N.ConventiononContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
4.5 Dispute Resolution.Any dispute,
controversyorclaimarising out oforrelatingto
thisWarranty,theProductorservicesprovided
bySynologywithrespectto the Product orthe
relationshipbetweenCustomersresidingwithin
the United States and Synology will be resolved
exclusivelyandfinallybyarbitration under the
currentcommercialrulesoftheAmericanArbitration
Association,exceptasotherwise providedbelow.
Thearbitrationwillbeconducted before asingle
arbitrator,andwill be limitedsolelytothedispute
betweenCustomerandSynology.The arbitration,
oranyportionofit, will notbeconsolidatedwith
anyotherarbitrationandwillnot be conductedon
aclass-wideorclassactionbasis.Thearbitration
shallbeheldinKingCounty, Washington,U.S.A.
bysubmissionofdocuments,bytelephone,online
orinpersonasdetermined bythearbitratoratthe
requestoftheparties.Theprevailingpartyin any
arbitrationorlegalactionoccurringwithintheUnited
Statesorotherwiseshall receive allcostsand
reasonableattorneys’fees,includinganyarbitration
fee paid by the prevailing party. Any decision
rendered in such arbitration proceedings will be
finalandbindingon the parties,andjudgment
maybeenteredthereon inanycourtofcompetent
jurisdiction. Customer understands that, in the
absenceofthisprovision,Customerwouldhavehad
arighttolitigateany such dispute,controversyor
claiminacourt,includingtherighttolitigateclaims
onaclass-wideorclass-actionbasis,andCustomer
expresslyandknowinglywaives those rightsand
agreestoresolveany disputesthroughbinding
arbitrationinaccordancewith theprovisionsofthis
Section4.5.ForCustomersnotresidingwithinthe
UnitedStates,anydispute, controversyorclaim
describedinthissectionshallbenallyresolvedby
arbitrationconductedbythreeneutral arbitrators
inaccordancewiththe proceduresoftheR.O.C.
ArbitrationLawandrelated enforcementrules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedingsshallbeconducted
inEnglishor,ifbothpartiessoagree,inMandarin
Chinese.The arbitrationawardshallbefinaland
bindingonthepartiesandmaybeenforcedinany
courthavingjurisdiction.NothinginthisSection
shallbedeemedto prohibit orrestrictSynology
fromseekinginjunctiverelieforseekingsuchother
rightsandremediesasitmayhaveatlaworequity
foranyactualorthreatenedbreachofanyprovision
ofthisWarrantyrelatingto Synology's intellectual
propertyrights.
4.6 Attorneys' Fees.Inany arbitration,
mediation,orotherlegalactionor proceeding to
enforcerightsorremediesunderthisWarranty,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
4.7 Export Restrictions. Youacknowledge
thattheProductmay be subjecttoU.S.export
restrictions.Youwillcomplywithallapplicablelaws
andregulationsthatapplytotheProduct,including
withoutlimitationthe U.S.ExportAdministration
Regulations.
4.8 Sev erabi lity. If anyprovisionofthis
Warrantyisheldbyacourtofcompetentjurisdiction
tobeinvalid,illegal,orunenforceable,theremainder
ofthisWarrantywillremaininfullforceandeffect.
4.9 Entire Agreement.ThisWarranty
constitutestheentireagreement,and supersedes
anyandallprior agreements, betweenSynology
andCustomerrelatedto the subjectmatterhereof.
Noamendment,modicationorwaiverofanyofthe
provisions ofthisWarrantywillbe valid unless set
forthinawritteninstrument signedbythepartyto
beboundthereby.
