Limited Warranty
DigitalSecurity Controls(DSC) warrantsthat fora periodof 12months fromthe date of
purchase, the product shall befree of defects inmaterials andworkmanship under normal
useandthat in fulfilment of any breachof suchwarranty, DSC shall, at its option, repair or
replacethedefective equipment uponreturn of theequipment toitsrepair depot. This war-
ranty appliesonly todefects inparts andworkmanship andnot todamage incurredin ship-
pingor handling, or damage due to causesbeyond the control of DSC such as lightning,
excessivevoltage, mechanicalshock, waterdamage, or damagearisingout of abuse, alter-
ationorimproper applicationof theequipment. Theforegoingwarrantyshallapply onlyto the
originalbuyer, andisandshallbeinlieuof any andallotherwarranties, whetherexpressed or
impliedandof allotherobligations orliabilitieson thepartof DSC. DigitalSecurity Controls
neitherassumes responsibilityfor, norauthorizes anyother personpurporting toact on its
behalftomodifyor tochangethis warranty,nortoassume foritany otherwarranty or liab-
ility concerning thisproduct. Inno event shall DSC beliable forany direct, indirect or con-
sequentialdamages, loss of anticipatedprofits, loss of time orany other lossesincurred by
thebuyerinconnection withthepurchase, installationoroperationor failureof this product.
WARNING: DSC recommends that the entiresystembe completelytested ona regular
basis. However, despitefrequent testing, anddue to, but not limitedto, criminal tampering
or electricaldisruption, it ispossibleforthisproduct tofailtoperformas expected. Important
Information: Changes/modifications not expresslyapproved byDSC could voidthe user’s
authoritytooperatethisequipment.

ThisEndUser LicenseAgreement ("EULA")is alegal agreement between You(the com-
pany, individualorentity whoacquiredthe Softwareandany relatedHardware) and Digital
Security Controls, a division of Tyco Safety Products Canada Ltd. ("DSC"), the man-
ufacturer of the integrated security systems and the developer of the software and any
relatedproductsorcomponents ("HARDWARE")whichYouacquired.
If the DSC software product ("SOFTWAREPRODUCT" or"SOFTWARE") is inten-
ded to be accompanied by HARDWARE, and is NOT accompanied by new
HARDWARE, You may not use, copy or install the SOFTWARE PRODUCT. The
SOFTWARE PRODUCT includes computer software, and may include associated
media, printedmaterials, and"online"or electronic documentation.
Anysoftwareprovidedalongwiththe SOFTWARE PRODUCT that isassociatedwith a
separateenduser licenseagreement islicensedtoYouunderthetermsof that licenseagree-
ment.
By installing, copying, downloading, storing, accessing or otherwise using the
SOFTWARE PRODUCT, You agree unconditionally to be bound by the terms of this
EULA, evenif this EULAisdeemedtobeamodificationof anyprevious arrangement or con-
tract. If You do not agree to the terms of this EULA, DSC is unwilling to license the
SOFTWARE PRODUCT toYou, andYouhavenoright touseit.
SOFTWARE PRODUCT LICENSE
TheSOFTWARE PRODUCT is protected by copyright laws andinternational copyright
treaties, as well as other intellectual property laws and treaties. The SOFTWARE
PRODUCT is licensed, not sold.
1. GRANT OF LICENSE. ThisEULAgrants Youthefollowingrights:
(a)Software Installationand Use - For eachlicense You acquire, You mayhave only one
copyof theSOFTWAREPRODUCT installed.
(b) Storage/Network Use - The SOFTWARE PRODUCT may not be installed,
accessed, displayed, run, shared or used concurrently on or from different computers,
includingaworkstation, terminalor other digitalelectronicdevice("Device"). Inother words,
if You have severalworkstations, You will haveto acquire alicense for each workstation
wheretheSOFTWAREwillbeused.
(c)Backup Copy - Youmay makeback upcopies of the SOFTWARE PRODUCT, but
Youmay onlyhaveonecopyper licenseinstalledat anygiventime. Youmay usetheback up
copysolelyfor archival purposes. Except as expressly providedinthis EULA, Youmay not
otherwisemake copiesof the SOFTWAREPRODUCT, includingthe printed materials
accompanyingtheSOFTWARE.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
(a) Limitations on Reverse Engineering, Decompilation and Disassembly - You may not
reverseengineer, decompile, or disassemblethe SOFTWAREPRODUCT, except and
only totheextent that suchactivity isexpresslypermittedbyapplicablelaw notwithstanding
thislimitation. Youmaynot makeanychangesor modificationstotheSoftware, without the
written permission of an officer of DSC. You may not remove any proprietary notices,
marks or labels from the Software Product. You shall institute reasonable measures to
ensurecompliancewiththetermsandconditionsof this EULA.
(b) Separation of Components - The SOFTWARE PRODUCT is licensed as a single
product. Its component parts may not be separated for use on more than one
HARDWAREunit.
(c) Single INTEGRATED PRODUCT - If You acquired this SOFTWARE with
HARDWARE, then the SOFTWAREPRODUCT is licensedwith the HARDWARE
asa single integrated product. In this case, theSOFTWARE PRODUCT may only be
usedwiththeHARDWAREasset forthinthis EULA.
(d)Rental- Youmay not rent, lease or lend theSOFTWARE PRODUCT. Youmay not
makeit availabletoothersor post it onaserver orwebsite.
(e)SoftwareProduct Transfer- Youmay transfer allof Your rightsunderthis EULAonly as
part of apermanent saleor transfer of the HARDWARE, provided Youretain no copies,
Youtransferallof theSOFTWAREPRODUCT (includingallcomponent parts, the media
andprintedmaterials, anyupgrades andthisEULA), andprovidedtherecipient agreestothe
termsof this EULA. If the SOFTWAREPRODUCT is anupgrade, any transfer must
alsoincludeallprior versions of theSOFTWARE PRODUCT.
(f) Termination - Without prejudice to any otherrights, DSC mayterminate this EULA if
Youfailtocomplywiththetermsandconditions of thisEULA. Insuchevent, Youmust des-
troyallcopiesof theSOFTWARE PRODUCT andallof its component parts.
(g)Trademarks - ThisEULA does not grant You anyrights in connectionwith any trade-
marks orservicemarksof DSC oritssuppliers.
3. COPYRIGHT
AlltitleandintellectualpropertyrightsinandtotheSOFTWARE PRODUCT (includingbut
not limited to any images, photographs, and text incorporated into the SOFTWARE
PRODUCT), the accompanying printed materials, andany copies of the SOFTWARE
PRODUCT, areowned byDSC orits suppliers.Youmay notcopy theprinted materials
accompanyingtheSOFTWARE PRODUCT. Alltitleandintellectualpropertyrights inand
tothecontent whichmaybe accessedthrough useof the SOFTWARE PRODUCT are
thepropertyof therespectivecontent ownerand maybeprotected byapplicable copyright
or other intellectualpropertylaws andtreaties. ThisEULAgrants Younorightstouse such
content. Allrightsnot expresslygrantedunder this EULAarereservedbyDSC andits sup-
pliers.
4. EXPORT RESTRICTIONS
Youagreethat Youwillnot export or reexport theSOFTWAREPRODUCT toany coun-
try, person, orentity subject toCanadianexport restrictions.
5. CHOICE OF LAW: ThisSoftware LicenseAgreement is governed by the laws of the
Provinceof Ontario, Canada.
6. ARBITRATION
AlldisputesarisinginconnectionwiththisAgreement shallbedeterminedbyfinaland binding
arbitrationinaccordance withthe ArbitrationAct, andthe partiesagree tobe boundby the
arbitrator'sdecision. Theplace of arbitrationshall beToronto, Canada, andthelanguage of
thearbitrationshallbeEnglish.
7. LIMITED WARRANTY
(a) NO WARRANTY
DSC PROVIDES THE SOFTWARE "AS IS" WITHOUT WARRANTY. DSC
DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR
REQUIREMENTS OR THAT OPERATION OF THE SOFTWARE WILL BE
UNINTERRUPTED OR ERROR-FREE.
(b) CHANGES IN OPERATIN G ENVIRONMENT
DSC shall not be responsible for problems caused by changes in the operating char-
acteristicsof the HARDWARE, or for problems in the interaction of the SOFTWARE
PRODUCT withnon-DSC-SOFTWARE orHARDWAREPRODUCTS.
(c)LIMITATION OF LIABILITY; WARRANTY REFLECTSALLOCATION OF RISK
IN ANY EVENT, IF ANYSTATUTE IMPLIESWARRANTIES OR CONDITIONS
NOT STATED IN THIS LICENSE AGREEMENT, DSC'S ENTIRE LIABILITY
UNDER ANY PROVISION OF THIS LICENSE AGREEMENT SHALL BE
LIMITED TO THEGREATER OF THEAMOUNT ACTUALLY PAID BY YOU TO
LICENSE THE SOFTWARE PRODUCT AND FIVE CANADIAN DOLLARS
(CAD$5.00). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE
EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR
INCIDENTALDAMAGES, THE ABOVE LIMITATION MAYNOT APPLYTO YOU.
(d) DISCLAIMER OF WARRANTIES
THISWARRANTY CONTAINS THE ENTIREWARRANTY AND SHALL BE IN
LIEU OF ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESSED OR
IMPLIED (INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY
OR FITNESS FOR A PARTICULAR PURPOSE) AND OF ALL OTHER
OBLIGATIONS OR LIABILITIES ON THE PART OF DSC. DSC MAKES NO
OTHER WARRANTIES. DSC NEITHER ASSUMES NOR AUTHORIZES ANY
OTHER PERSON PURPORTING TO ACT ON ITS BEHALF TO MODIFYOR TO
CHANGE THIS WARRANTY, NOR TO ASSUME FOR IT ANY OTHER
WARRANTY OR LIABILITY CONCERNING THISSOFTWAREPRODUCT.
(e) EXCLUSIVEREMEDYAND LIMITATION OF WARRANTY
UNDER NO CIRCUMSTANCES SHALL DSC BE LIABLE FOR ANY SPECIAL,
INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES BASED UPON
BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE,
STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. SUCH DAMAGES
INCLUDE, BUT ARE NOT LIMITED TO, LOSS OF PROFITS, LOSS OF THE
SOFTWARE PRODUCT OR ANY ASSOCIATED EQUIPMENT, COST OF
CAPITAL, COST OF SUBSTITUTE OR REPLACEMENT EQUIPMENT,
FACILITIESOR SERVICES, DOWN TIME, PURCHASERS TIME, THE CLAIMS
OaF THIRD PARTIES, INCLUDING CUSTOMERS, AND INJURY TO
PROPERTY.
