This End -User L icens e Agree ment ( “EUL A”) is a leg al
agreem ent bet ween ( a) you, e ither as a n indivi dual or a
single e ntity ( hereinafter r eferre d to as “You” or “Your”)
and (b) Dunlop Manufacturing, Inc. (“Dunlop” ) that
governs Your u se of any Sof tware Product , instal led
on or made av ailabl e by Dunlo p for use wi th Your
Dunlop p roduc t. The ter m “Sof tware Pr oduct ” means
the elec tronic e ffec t insta lled on or m ade avail able
by Dunlop f or use wit h Your Dunlop p roduc t and
may inclu de asso ciated m edial, p rinte d materi al and
“online” or electronic documentation.
YOU AGREE TO BE BO UND BY THE TE RMS OF TH IS
EULA BY US ING ANY PART O F THE SOF TWARE

1. GRANT OF L ICENSE : Dunlop grants to You the
followin g indivi dual, pe rson al, non- sub lice nsabl e,
nonexclu sive lic ense to us e one (1) copy o f the
Soft ware Prod uct, in ob ject co de form o nly, provide d
You agree to and c omply w ith all ter ms and co nditio ns
of this EUL A as it may be amende d from tim e to time.
You acknowledge that Dunlop retains ownership of the
Soft ware Prod uct, any p orti ons or cop ies the reof, and
all righ ts there in throu ghout th e world.
THE DUNLO P PRODUC T (INC LUDING T HE
SOFTWARE PRODUCT CONTAINED THEREIN)
IS PROVIDE D “AS IS” AND SUB JECT TO THE
WARRAN TY DIS CLAI MERS AN D LIMITATIONS OF
LIABILITY SET FORTH BELOW.
2. RENTAL: You may not c opy, rent, lea se, dis tribute ,
assign o r other wise transfer r ights to th e Soft ware
Produc t; use th e Soft ware Pro duct for t imesha ring or
servi ce bure au purp oses or o therw ise for th e benefi t
of a third pa rty.
3. TRA NSFER : You may perma nently t ransf er the
rights g ranted to You un der this A greem ent only a s
part of a p erman ent sal e or tran sfer of th e Dunlop
produc t conta ining th e Soft ware Prod uct, pr ovided
You retain no c opies, You tr ansfer a ll of the So ftwar e
Produc t (incl uding al l compo nent par ts, the media
and printed materials, any upgrades and prior
versio ns, thes e licen sing ter ms, and , i f applic able, th e
Certi ficate (s) of Authen ticit y), and o nly if the r ecipi ent
agrees t o the boun d to by the ter ms and con dition s of
this Agreement.
4. RESTRI CTIONS : You w ill only u se the Sof tware
Produc t for lawf ul purp oses an d in comp liance w ith
all appl icable l aws. You here by agree to d efend an d
indemnify Dunlop against any claim or action that
arise s from Your use o f the Sof tware Pr oduct in a n
unlawful manner.
5. LIMITATION ON RE VERSE ENGINEERI NG: You
will not, d irectl y or indir ectly, reve rse eng ineer,
decompile, disassemble or otherwise attempt to
discove r the sour ce code o r under lying id eas or
algori thms of th e Soft ware Prod uct; m odify, tra nslate ,
or create d erivat ive works b ased on t he Soft ware
Produc t. Nothin g conta ined he rein sha ll be con strue d,
expres sly or imp licitl y, as transf errin g any righ t,
licens e or title to You oth er than t hose exp licitly
grante d under th is EULA . Unauthorize d copying o f the
Soft ware Prod uct or fa ilure to co mply wit h the above
restri ction s will res ult in auto matic te rminat ion of this
Agreem ent and w ill cons titute im media te, irrep arabl e
harm to Du nlop for w hich mon etar y damag es would
be an inad equate r emedy, in wh ich cas e injunc tive
relief wi ll be an ap propri ate reme dy for su ch breac h.
6. SUPPOR T: Dunlop p rovides t he Soft ware Product
“AS-IS” an d does not p rovide s uppor t ser vices fo r it.
7. PROPRIETARY RIGH TS: Al l intelle ctual
proper ty rights in the S oftwa re Produ ct and us er
docume ntatio n are owne d by Dunlo p or its sup plier s
and are pr otecte d by law, inclu ding but n ot limite d to
United States copyright, trade secret and trademark
law, as well as ot her app licabl e laws and i nterna tional
treat y provisi ons. Th e struc ture, org aniza tion and
code of th e Soft ware Prod uct are t he valuab le trad e
secret s and con fidenti al infor mation o f Dunlop a nd
its supp liers . You shall not re move any pr oduct
identification, copyright notices or proprietary
restri ction s from the S oftwa re Produ ct or Dun lop
product.
8. TERMIN ATION: T his Agre ement i s effec tive unti l
termina ted. Dun lop may te rminate t his Agre ement
immediately, without prior notice or liability, if
You breach any o f the term s or condi tions of t his
Agreem ent. Al l secti ons of this A greem ent whic h
by their nature should survive termination will
survive termination, including, without limitations,
warran ty disc laime rs and li mitati ons of lia bility. Up on
termina tion of th is Agree ment fo r any reas on, You
must des troy the S oftwa re Produ ct and al l of its
component parts.
9. NO WARRA NTIES : WARRA NTY D ISCLA IMER
THE SOF TWARE PR ODUCT IS PR OVIDED “AS IS”
WITHOU T WARRA NTY OF A NY KIND. T he Soft ware
Produc t is offe red on an “AS- IS” bas is and Du nlop
does NOT wa rrant t hat the fu nction s conta ined in
the Sof tware Pr oduct wi ll meet Your re quire ments
or that the o perat ion of the S oftwa re Produ ct will
be uninte rrupte d or err or free. You sh ould not u se
the Sof tware Pr oduct fo r any appl icatio ns in whic h
failure c ould ca use any si gnifica nt dama ge or inju ry to
perso ns or tan gible or i ntangi ble prop ert y. DUNLOP

IMPLIED WARRANTIES OF MERCHANTABILITY,

OR EQUITABLE THEORY FOR ANY INCIDENTAL,
CONSEQUENTIAL, EXEMPLARY OR PUNITIVE
DAMAGES OF A NY KIND. S OME STATES AND
COUNTR IES DO NOT A LLOW THE EXC LUSION O R
LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
DAMAGES. S O THE ABOV E LIMITATIONS AN D

11. EXCLUSIVE REMED IES: T he entir e liabili ty of
Dunlop, i ts paren t, affil iates an d/or d istri butors a nd
Your exclusive r emedy f or any bre ach of the EU LA or
for any oth er liabi lity re lating to t he Soft ware Pro duct
and/ or the Dun lop pro duct sha ll be, at D unlop’s sole
option, ( a) return of the am ount pa id (if any ) for the
Soft ware Prod uct and /or the Dunlop pr oduct , or (b)
repair o r replac ement o f the Sof tware Pr oduct a nd/
or the Dun lop prod uct tha t is retur ned to Dun lop with
a copy of Your rec eipt. You will r eceive t he reme dy
elected by Dunlop without charge, except that You
are resp onsib le for any ex pense s You may incur ( i.e.
cost of sh ipping o f the Sof tware Pr oduct a nd/o r the
Dunlop p roduc t to Dunlop ). However, this reme dy is
unavaila ble if fa ilure of th e Soft ware Pro duct and /or
the Dunl op produ ct resu lted fro m accid ent, abu se,
misapplication, abnormal use or a virus.
12. EXPORT RESTRICTIONS: You acknowledge that
the Sof tware Pr oduct, o r any par t there of, or any
proce ss or ser vice that is the dire ct pro duct of th e
Soft ware are of U. S. origi n. You agree to co mply wi th
all applicable international and national laws that
apply to th ese pro ducts , includ ing the U.S. E xpor t
Administration Regulations, as well as end-user, end-
use and de stina tion res tricti ons iss ued by U.S. a nd/o r
other gove rnmen ts.
13. MISCELL ANEOUS: The fa ilure of ei ther pa rty to
exercise i n any resp ect any r ight pro vided fo r herei n
will not be d eemed a w aiver of a ny furt her righ ts
hereun der. If any prov ision of t his Agre ement i s found
to be unenf orcea ble or inva lid, that p rovisi on will be
limited o r elimin ated to the m inimum ex tent necessar y
so that thi s Agree ment wil l other wise re main in fu ll
force an d effec t and enf orcea ble. Thi s Agree ment will
be govern ed by and c onstru ed in acc ordan ce with
the laws of th e state of Ca lifor nia witho ut rega rd to
the confli ct of law’s pr ovision s there of. Venue for a ny
action b rought s hall be exc lusive ly in the ap propri ate
state an d/or fe dera l cour t locate d in San Fra ncisco,
Califor nia. B oth par ties agree that th is Agree ment is
the comp lete and exc lusive s tateme nt of the mu tual
under standi ng of the pa rtie s and sup ersed es and

communications and other understandings relating
to the subj ect mat ter of thi s Agreem ent, an d that all
modific ations m ust be in w riting a nd signe d by both
parti es, excep t as othe rwise p rovide d herei n. No
agency, par tnership, join t venture , or emplo yment is
create d as a resul t of this Ag reeme nt and You do not
have any aut horit y of any kin d to bind Du nlop in any
respe ct whats oever. In any ac tion or p rocee ding to
enforc e rights u nder thi s Agree ment, th e prevail ing
part y will be en titled t o recover c osts an d reaso nable
attorn eys’ fees . All noti ces und er this Ag reeme nt will
be in writ ing.
Note:Thisequipmenthasbeentestedandfoundto
complywiththelimitsforaClassBdigitaldevice,
pursuanttoPart15oftheFCCRules.Theselimits
aredesignedtoprovidereasonableprotection
againstharmfulinterferenceinaresidentialinstal-
lation.Thisequipmentgenerates,usesandcan

andusedinaccordancewiththeinstructions,may
