END-USER LICENSE
AGREEMENT
This End -User L icen se Agree ment ( “EUL A”) is a le gal
agree ment bet ween ( a) you, e ither a s an indi vidual o r a
single e ntity ( hereinafter r eferr ed to as “You” or “ Your”)
and (b) Dunlop Manufacturing, Inc. (“Dunlop” ) that
governs Your u se of any So ftwa re Produ ct, inst alled
on or made a vailabl e by Dunlo p for use w ith Your
Dunlop p roduc t. The ter m “Sof tware P roduct ” mean s
the elec troni c effec t insta lled on o r made avai lable
by Dunlop f or use wi th Your Dunlo p produc t and
may inclu de ass ociate d media l, printe d mater ial and
“online” or electronic documentation.
YOU AGREE TO BE BO UND BY THE T ERMS OF TH IS
EULA BY US ING ANY PAR T OF THE SOF TWARE
PRODUCT A ND/ OR THE DU NLOP PROD UCT.
YOU ALSO ACCE PT THIS EU LA IF YOU K EEP THE
DUNLOP PR ODUCT FO R 30 DAYS.

SOFT WARE TO YOU. IN SU CH EVEN T, YOU MAY

SOFT WARE PROD UCT AND YOU S HOULD R ETUR N
THE DUNLO P PRODUC T TO YOUR PLAC E OF
PURCHAS E FOR A FULL R EFUND, IF A PPLICAB LE.
1. GRANT OF L ICENSE : Dunlop grants to You th e
followin g indivi dual, p erson al, non -sub lic ensab le,
nonexclu sive lic ense to us e one (1) co py of the
Soft ware Prod uct, in o bject c ode for m only, provid ed
You agree to and c omply w ith all te rms and c onditi ons
of this EUL A as it may be amende d from ti me to time.
You acknowledge that Dunlop retains ownership of the
Soft ware Prod uct, an y porti ons or co pies th ereof, an d
all righ ts there in throu ghout t he world .
THE DUNLO P PRODUC T (INC LUDING T HE
SOFTWARE PRODUCT CONTAINED THEREIN)
IS PROVIDE D “AS IS” AND SUB JECT TO TH E
WARRAN TY DI SCLA IMERS AN D LIMITATIONS OF
LIABILITY SET FORTH BELOW.
2. RENTAL: You may not c opy, rent, le ase, dis tribu te,
assig n or other wise transfer r ights to th e Soft ware
Produc t; use th e Soft ware Pro duct fo r timesh aring o r
serv ice bure au purp oses or o ther wise for t he bene fit
of a third pa rty.
3. TRAN SFER : You may perma nentl y trans fer the
rights g ranted t o You under thi s Agree ment onl y as
part of a p erma nent sa le or tra nsfer of t he Dunlo p
produc t conta ining th e Soft ware Pro duct, p rovide d
You retain no c opies, You tr ansfe r all of the S oftwa re
Produc t (incl uding a ll compo nent pa rts, t he media
and printed materials, any upgrades and prior
versio ns, the se lice nsing te rms, an d , if appli cable, t he
Cert ificate (s) of Authen ticit y), an d only if th e recip ient
agree s to the boun d to by the ter ms and co nditio ns of
this Agreement.
4. RESTRI CTIONS : You w ill only u se the Sof twar e
Produc t for law ful purp oses a nd in comp lianc e with
all appl icabl e laws. You here by agree to d efend a nd
indemnify Dunlop against any claim or action that
arise s from Your use o f the Sof tware Pr oduct i n an
unlawful manner.
5. LIMITATION ON RE VERS E ENGINE ERING : You
will not, d irectl y or indi rectl y, reverse en ginee r,
decompile, disassemble or otherwise attempt to
discove r the sour ce code o r under lying i deas or
algori thms of th e Soft ware Pro duct ; modif y, transla te,
or creat e deriva tive works b ased o n the Sof tware
Produc t. Nothi ng conta ined he rein sh all be co nstru ed,
expres sly or im plicit ly, as trans ferri ng any rig ht,
licens e or title t o You other than t hose exp licitl y
grante d under t his EUL A. Unau thori zed copy ing of the
Soft ware Prod uct or fa ilure to c omply wi th the abo ve
restri ction s will res ult in aut omatic te rmina tion of th is
Agreem ent and w ill cons titute i mmedia te, irre parab le
harm to Du nlop for w hich mo netar y dama ges woul d
be an inad equate r emedy, in wh ich cas e injunc tive
relief w ill be an ap propr iate rem edy for s uch brea ch.
6. SUPPOR T: Dunlop p rovide s the Sof tware Pr oduct
“AS-IS” an d does no t provide s uppor t services fo r it.
7. PROPRIETARY RIGH TS: Al l intelle ctual
prope rty ri ghts in th e Soft ware Pro duct an d user
docume ntati on are owne d by Dunl op or its su pplie rs
and are pr otecte d by law, inclu ding but n ot limit ed to
United States copyright, trade secret and trademark
law, as well as o ther app licab le laws an d intern ationa l
treat y provisi ons. Th e struc ture, or ganiz ation an d
code of th e Soft ware Pro duct are t he valua ble tra de
secret s and con fident ial info rmatio n of Dunl op and
its supp liers . You shall not r emove any p roduc t
identification, copyright notices or proprietary
restri ction s from the S oftw are Prod uct or Du nlop
product.
8. TERMI NATION: T his Agre emen t is effe ctive un til
termin ated. Du nlop may te rmina te this Agr eemen t
immediately, without prior notice or liability, if
You breach any o f the term s or cond itions o f this
Agreem ent. Al l secti ons of thi s Agree ment whi ch
by their nature should survive termination will
survive termination, including, without limitations,
warran ty disc laime rs and li mitati ons of lia bilit y. Upon
termin ation of th is Agre ement fo r any rea son, You
must de stroy the S oftwa re Prod uct and a ll of its
component parts.
9. NO WARR ANTIES : WARRA NTY D ISCL AIMER
THE SOF TWARE PR ODUCT I S PROVIDED “AS IS ”
WITHOU T WARRA NTY OF A NY KIND. T he Sof tware
Produc t is offe red on an “AS -IS” ba sis and D unlop
does NOT wa rrant t hat the fu nctio ns cont ained i n
the Sof tware Pr oduct w ill meet Your r equire ments
or that th e opera tion of the S oftw are Prod uct will
be uninte rrupt ed or err or free . You should not u se
the Sof tware Pr oduct f or any app licati ons in whi ch
failur e could ca use any si gnific ant dam age or inj ury to
perso ns or tan gible or i ntang ible pro per ty. DUNLOP
DISCL AIMS AL L WARRA NTIES, E ITHER E XPRESS
OR IMPLIE D, INCLUDI NG BUT NOT L IMITED TO,
IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FO R A PARTICU LAR PU RPOSE , AND
NON-INFRINGEMENT. THE ENTIRE RISK OF THE
QUALIT Y AND PER FORMA NCE OF THE D UNLOP
SOFT WARE IS WI TH YOU. SOME STATES DO NOT
ALLOW LIMI TATIONS ON HOW LON G AN IMPLIE D
WARRAN TY L ASTS, SO T HE ABOVE L IMITATION
MAY NOT APPLY TO YOU.
10. LIMITATION OF LIABILITY NOTWITHSTANDING:
ANYTHING CONTAINED IN THIS AGREEMENT
OR OTHERWI SE, DUN LOP WILL N OT BE LIAB LE
WITH RES PECT TO THE SU BJECT MATT ER OF
THIS AGREEMENT UNDER ANY CONTRACT,
NEGLIG ENCE, ST RICT LIA BILIT Y OR OTHE R LEGAL
OR EQUITABLE THEORY FOR ANY INCIDENTAL,
CONSEQUENTIAL, EXEMPLARY OR PUNITIVE
DAMAGES OF A NY KIND. S OME STATES AND
COUNTR IES DO NOT A LLOW THE E XCLUSIO N OR
LIMITATION OF INCIDENTAL OR CONSEQUENTIAL
DAMAGES. S O THE ABOV E LIMITATIONS AN D
EXCLUSI ONS MAY NOT APPLY TO YOU.
11. EXCLUSIVE REME DIES: T he entir e liabil ity of
Dunlop, i ts pare nt, affi liates a nd/o r distr ibutor s and
Your exclusive r emedy f or any bre ach of the E ULA or
for any oth er liabi lity re lating t o the Sof tware Pr oduct
and/ or the Du nlop pro duct sh all be, at D unlop’s sol e
option, ( a) return of the am ount pa id (if a ny) for the
Soft ware Prod uct and /or the Dunlop p roduct , or (b )
repair o r repla cemen t of the Sof tware P roduc t and/
or the Dun lop pro duct tha t is retur ned to Du nlop wit h
a copy of Your rec eipt. You will r eceive t he reme dy
elected by Dunlop without charge, except that You
are resp onsib le for any ex pense s You may incur ( i.e.
cost of sh ipping o f the Sof tware Pr oduct a nd/ or the
Dunlop p roduc t to Dunlo p). H owever, this re medy is
unavail able if fa ilure of t he Soft ware Pro duct an d/o r
the Dunl op produ ct res ulted fr om accid ent, ab use,
misapplication, abnormal use or a virus.
12. EXPORT RESTRICTIONS: You acknowledge that
the Sof tware Pr oduct , or any par t thereof, or any
proce ss or ser vice that is the dir ect pro duct of th e
Soft ware are of U. S. orig in. You agree to c omply wi th
all applicable international and national laws that
apply to th ese pro ducts , inclu ding the U.S . Expor t
Administration Regulations, as well as end-user, end-
use and de stina tion res trict ions is sued by U.S . and/ or
other gove rnme nts.
13. MISCELL ANEOUS: The fa ilure of e ither pa rty to
exercis e in any res pect an y right pr ovided f or here in
will not be d eeme d a waiver of a ny fur ther rig hts
hereun der. If any pr ovision o f this Agr eemen t is found
to be unenf orcea ble or inva lid, tha t provis ion will b e
limited o r elimin ated to the m inimum e xtent ne cess ary
so that thi s Agree ment wi ll other wise re main in f ull
force an d effe ct and en forcea ble. Th is Agree ment wi ll
be govern ed by and c onstr ued in ac corda nce with
the laws of th e state of C alifor nia with out reg ard to
the confl ict of law’s pr ovisio ns there of. Venue fo r any
action b rough t shall be ex clusive ly in the a ppropr iate
state an d/or f edera l cour t locate d in San Fra ncisc o,
Califor nia. Both par ties a gree tha t this Agr eemen t is
the comp lete and exc lusive s tateme nt of the mu tual
under stand ing of the pa rtie s and sup erse des and
cance ls all pre vious wr itten a nd oral a greem ents,
communications and other understandings relating
to the subj ect mat ter of thi s Agree ment, a nd that al l
modific ations m ust be in w riting a nd sign ed by both
parti es, exce pt as othe rwis e provid ed here in. No
agency, par tnership, join t ventur e, or empl oyment i s
create d as a resu lt of this Ag reeme nt and You do not
have any aut horit y of any kin d to bind Du nlop in a ny
respe ct what soever. In any a ction or p roce eding to
enforc e rights u nder th is Agre ement, t he prevai ling
part y will be e ntitle d to recove r costs a nd reas onabl e
attorn eys’ fee s. All not ices un der this A greem ent will
be in writ ing.
Note:Thisequipmenthasbeentestedandfoundto
complywiththelimitsforaClassBdigitaldevice,
pursuanttoPart15oftheFCCRules.Theselimits
aredesignedtoprovidereasonableprotection
againstharmfulinterferenceinaresidentialinstal-
lation.Thisequipmentgenerates,usesandcan
radiateradiofrequencyenergyand,ifnotinstalled
andusedinaccordancewiththeinstructions,may
causeharmfulinterferencetoradiocommunications.
However,thereisnoguaranteethatinterferencewill
notoccurinaparticularinstallation.Ifthisequipment
doescauseharmfulinterferencetoradioortelevision
reception,whichcanbedeterminedbyturningthe
equipmentoandon,theuserisencouragedto
trytocorrecttheinterferencebyoneormoreofthe
followingmeasures:
• Reorientorrelocatethereceivingantenna.
• Increasetheseparationbetweentheequipment
