all applicable international and national laws that
apply to th ese pro ducts , inclu ding the U.S . Expor t
Administration Regulations, as well as end-user, end-

licens e or title t o You other than t hose exp licitl y
grante d under t his EUL A. Unau thori zed copy ing of the
Soft ware Prod uct or fa ilure to c omply wi th the abo ve
restri ction s will res ult in aut omatic te rmina tion of th is
Agreem ent and w ill cons titute i mmedia te, irre parab le
harm to Du nlop for w hich mo netar y dama ges woul d

7. PROPRIETARY RIGH TS: Al l intelle ctual

docume ntati on are owne d by Dunl op or its su pplie rs
and are pr otecte d by law, inclu ding but n ot limit ed to
United States copyright, trade secret and trademark
law, as well as o ther app licab le laws an d intern ationa l
treat y provisi ons. Th e struc ture, or ganiz ation an d
code of th e Soft ware Pro duct are t he valua ble tra de
secret s and con fident ial info rmatio n of Dunl op and
its supp liers . You shall not r emove any p roduc t
identification, copyright notices or proprietary
restri ction s from the S oftw are Prod uct or Du nlop
product.
8. TERMI NATION: T his Agre emen t is effe ctive un til
termin ated. Du nlop may te rmina te this Agr eemen t
immediately, without prior notice or liability, if
You breach any o f the term s or cond itions o f this
Agreem ent. Al l secti ons of thi s Agree ment whi ch
by their nature should survive termination will
survive termination, including, without limitations,
warran ty disc laime rs and li mitati ons of lia bilit y. Upon
termin ation of th is Agre ement fo r any rea son, You
must de stroy the S oftwa re Prod uct and a ll of its
component parts.

and/ or the Dun lop pro duct sh all be, at D unlop’s sol e
option, ( a) return of the am ount pa id (if an y) for the
Soft ware Prod uct and /or the Dunlop pr oduct , or (b)
repair o r replac ement o f the Sof tware Pr oduct a nd/
or the Dun lop prod uct tha t is retur ned to Dun lop with
a copy of Your rec eipt. You will r eceive t he reme dy
elected by Dunlop without charge, except that You
are resp onsib le for any ex pense s You may incur ( i.e.
cost of sh ipping o f the Sof tware Pr oduct a nd/o r the
Dunlop p roduc t to Dunlo p). Ho wever, this rem edy is
unavaila ble if fa ilure of th e Soft ware Pro duct an d/or
the Dunl op produ ct resu lted fro m accid ent, abu se,
misapplication, abnormal use or a virus.
12. EXPORT RESTRICTIONS: You acknowledge that
the Sof tware Pr oduct, o r any par t thereof, or any
proce ss or ser vice that is the dir ect pro duct of th e
Soft ware are of U. S. origi n. You agree to co mply wi th
all applicable international and national laws that
apply to th ese pro ducts , includ ing the U.S. E xport
Administration Regulations, as well as end-user, end-
use and de stina tion res tricti ons iss ued by U.S. a nd/o r
other gove rnmen ts.
13. MISCELL ANEOUS: The fa ilure of ei ther pa rty to
exercis e in any resp ect any r ight pr ovided fo r herei n
will not be d eeme d a waiver of a ny furt her rig hts
hereun der. If any pro vision o f this Agre ement i s found
to be unenf orcea ble or inva lid, that p rovisi on will be
limited o r elimin ated to the m inimum ex tent necessa ry
so that thi s Agree ment wil l other wise re main in fu ll
force an d effec t and enf orcea ble. Thi s Agree ment wil l
be govern ed by and c onstru ed in acc ordan ce with
the laws of th e state of Ca lifor nia with out rega rd to
