Art. 1. Recitals
EMMESTEELs.r.l.–hereafterthe“Seller”–doesnotacceptanytermandconditionotherthanthoseexpresslysetforthinthisdocument,andsells
onlyuponthetermsandconditionscontainedherein.Noothertermandconditionthatmayotherwisecontaininanyotherdocumentofthe
Purchasershallmodifyorcontradicttheseterms.
Art. 2. Orders
ThetransmissionofanorderimpliestheacceptancebythePurchaserofthepresentGeneralTermsofSale.
Theorderhastobecommunicatedviatelefax,viae‐mail,viaphone,viawebsitebythePurchaser;theSellershallsendtheOrderConfirmation
formbacktothePurchaser,whoshallcheckandconfirmtheOrderbywrittensignature.
Ifwithin3calendardaysshallnotfollowothercommunications,theOrderConfirmationshallbecomebindingforthestartingoftheproductive
processes.Requestsofquotationstransmittedbyphone,e‐mail,telefaxorwebsite,shallnotbeconsideredinanycaseas“PurchaseOrder”.
ChangesandcancellationsofordersaresubjecttotheSeller’swrittenapproval,beingitfactoredbythestatusoftheOrderproduction.Allcosts
dueforchangesorcancellationrequestedbythePurchasershallbecredited.
Orderswithadefinitetermofdeliverycanbecancelledorchangedwithinthedeliverydateonly,andinaccordancewiththehereindescribed
conditions.
Art. 3. Terms of delivery
IfthetermofdeliveryshouldnotbecarriedoutforwhatsoeverreasonnotdependingonSeller’swill,orforchangesrequestedbythePurchaser
whentheproductiveprocessesareinprogress–seeart.2.–thelattershallnothavetherighttoclaimfordamagesorforordercancellation.The
SellershallpromptlynotifythenewtermofdeliverytothePurchaser.TheSellershalldelivertheproductsbymeansofreliablecarriers,orbyits
ownpersonnel,unlessotherwiseagreedwiththePurchaser.Anyfurtherordifferenttermofdeliveryhereincontainedhastobeagreed
beforehandbetweenPurchaserandSeller,andapprovedandconfirmedbythelatterthroughtheOrderConfirmation.
Art. 4. Limitation of liability - Shipping
AllthesalesareEX‐WORKSEmmesteels.r.l.(Incoterms2000),freeSeller’scompany:thewholetransportationisatPurchaserexpensesincethe
verymomentofloading,evenwhendirectlydeliveredbySeller’spersonnel;allsalesdonotincludeshipping,insuranceandpackagingcosts,or
otherdeliverycharges‐inspectionfeesandallotherchargesleviedaftertheloadingiscompleted.;theSellershallnotbeliablefordamages
occurredduringthetransport,theunloadofthegoodsatdestination,andduringallfurtherstepsafterthedepartureofthegoodsfromtheSeller
company;thePurchaserassumesalltherisksfor:transportation,evenwhenthecarrierischargedbytheSelleronPurchaserbehalf;allstocking
costsbythecarrierwarehousebecauseoftherefusalofthePurchasertoreceivethegoods,orbecausethePurchaserisabsentfromdestination
duringtheworkingdays.
Productsafetyandintegrityiswarrantedbyaspecialpackagingconsistingofalaminarpackaging,whichprotectstheproductsfromexternal
collisions,pluscatchallpolystyrenesupportswhichprotectandavoidtheshiftingoftheproductinsidethebox.
Art. 5. Prices and Payments
Thepricelistisindicativeandmaybechanged:theSellerreservestherighttochangeprices,andshallcommunicateitpromptlytothePurchaser.
Pricelist,availableonrequestandatSeller’sdiscretion,areintendedinEUROcurrencyandVATexcluded,whichshallbeappliedwiththecurrent
rateintheinvoice.
ThePurchaserhastopaytheinvoiceaccordingtothetermsstatedintheinvoice;innoeventshallsuchinvoicebedatedearlierthanthedateof
shipment.Sellerreservestherighttorequirealternativetermsofpayment–letterofcredit,paymentinadvance.Latepaymentsshallimplythe
applicationofthemoratoriuminterests.
TheSellerreservestherighttochangethetermsofpayment,athisdiscretion,incasethePurchaserhassolvencyproblems.
Whetherthepartieshaveagreedforpaymentinadvance,andthePurchaserwouldnothaveprovidedwiththepaymentdue,theSellershall
reservetherighttosubordinatethedeliveryofgoodstothepaymentoftheinvoice,withoutinanywaytoclaimdamages.PropertyrightsofSeller
areinforceuntilthereceiptofpaymentbythePurchaser.Further,thesellerreservestherighttotakebackthegoodsupongoodsunpaid.
Art.6. Warranty on products
TheSellerwarrants5yearsalltheproductsformanufacturefaults,hydraulictight,andmetalcorrosion,and2yearsforfaultsontheelectric
devicesappliedtotheheatersandtowelwarmers,andenforcementthedateindicatedintheserialnumberpresentbehindeachtowelwarmerand
outsideofthepackaging..TheSellershallreplaceallthereturnsfreeofchargeandwithinthisperiodofwarrantyafteranaccuratecheckmadein
Seller’slocation.Theproductsshallnotbewarrantedinallthesecases:
-Iffaultsareduetoinappropriateandcarelessnessmodalitiesoftransport;
-Foranunfitstorage;
-Foranunfitinstallation,handlinganduse,differentfromwhatindicatedinthemanualofinstructions;
-Ifthewiringconnectionisnotdoneaccordingtotheinstructionsofthismanual(lookatthewiringdiagramatSTEP11,12):anyother
orderofelectricbridgeswillcauseelectricshocks,burning/breakingofthetowelwarmer;
-Ifthetowelwarmersarenotconnectedtothesanitaryhotwater;
-ForrepairingortamperingcarriedoutwithoutawrittenauthorizationoftheSeller;
-Iftheinstallationiscarriedoutbynon‐qualifiedpersonnel;
-Ifthebarometricrateofpressureexceedsfromwhatindicatedinthetechnicaldata;
-Foranincorrectuseoftheelectricaldevices;
-Fornon‐domesticuse;
-Foranyusethatdiffersfromwhatisindicatedinthemanualofinstructionsfortheinstallationanduseofthetowelwarmers;
-Forincorrectcleaningmadethroughinappropriatematerials;
-ForanycircumstancenotrelatedtofaultsforwrongmanufactureduetotheSeller.
-Lackofrespectforthegeneralrulesofart;
Thewarrantyislimitedtotherepairorthereplacementofthefaultyproducts,excludingeveryfurtherobligationfordirectorindirectdamage.
Keepthe“WarrantyCertificate”inordertomakeitvalid,inwhichyoufindtheSeller’scompanyname,thefeaturesoftheproductandthe
purchasedate.
ThisisthewarrantyfortheSellerproducts:nooneisauthorizedtochangeitstermsordeliverdifferentones,eitherverbalorwritten.
Art. 7. Complains and returns
AnycomplainorreturnsdonotgivethePurchasertherighttosuspendordelaythepaymentsdue.ThePurchasercannotraiseexceptionsorbring
anactionagainsttheSeller,unlessthePurchaserhassettledboththependingpayment,andthepaymentoftheclaimedgoods.
ComplainsProcedure:thePurchasershallpromptlynotifytheclaimtotheSeller,whoshallcheckthegravityoftheproblem;theSellershalloffer
