2. OWNERSHIP
ItisunderstoodandagreedthatSpectraLogicCorporation,aDelaware
corporationwithofficesat6285LookoutRoad,Boulder,CO80301(ʺLicensorʺ)is
theownerofallright,titleandinteresttotheSoftwareProduct,regardlessofthe
mediaorformoftheoriginaldownload,whetherbytheWorldWideWeb,diskor
otherwise.You,aslicensee(ʺLicenseeʺ)throughyourdownloading,installing,
copyingoruseofthisproductdonotacquireanyownershiprightstothe
SoftwareProduct.
3. GENERAL
TheSoftwareProductislicensed,notsold,toyoubySpectraforuseonlyunder
thetermsofthisEULA.TheSoftwareProductisprotectedbycopyrightlawsand
internationalcopyrighttreaties,aswellasotherintellectualpropertylawsand
treaties.TherightsgrantedhereinarelimitedtoSpectraʹsanditslicensorsʹ
intellectualpropertyrightsintheSoftwareProductanddonotincludeanyother
patentsorintellectualpropertyrights.ThetermsofthisEULAwillgovernany
softwareupgradesprovidedbySpectrathatreplaceand/orsupplementthe
originalSoftwareProduct,unlesssuchupgradeisaccompaniedbyaseparate
licenseinwhichcasethetermsofthatlicensewillgovern.
4. SOFTWAREPRODUCT
TheSoftwareProduct,asusedinthisEULA,means,collectivelyand/oras
applicable:
TheSoftwareProductpackage;
Anyandallcontents,components,attachments,software,media,andcodewithwhich
thisAgreementisprovidedanddelivered;
Anyandallimages,photographs,art,artwork,clipart,fontsorotherartisticworks
(theʺArtWorkʺ);
Relatedexplanatorywrittenmaterialsandinstructions,andanyotherpossible
documentationrelatedthereto(ʺDocumentationʺ);and
Upgrades,modifiedversions,updates,additionsandcopiesoftheSoftwareProduct
(theʺUpgradesʺ),ifany,licensedtobySpectraunderthisEULA.

5. GRANTOFLICENSEANDRESTRICTIONS
A. Spectragrantsyouanon‐exclusive,non‐transferableEnd‐Userlicense
righttoinstalltheSoftwareProductsolelyforthepurposeforwhichit
wascreated.
B. UnlessprovidedotherwiseintheDocumentationorbypriorexpress
writtenconsentofSpectra,youshallnotdisplay,modify,reproduceand
distributeanyArtWork,orportion(s)thereof,includedwithorrelatingto
theSoftwareProduct,ifany.Anysuchauthorizeddisplay,modification,
reproductionanddistributionshallbeinfullaccordwiththisEULA.
Undernocircumstanceswillyouruse,display,modification,
reproductionanddistributionoftheArtWorkgiveyouanyIntellectual
PropertyorProprietaryRightsoftheArtWork.Allrights,title,and
interestbelongsolelytoSpectra.
C. ExceptfortheinitialloadingoftheSoftwareProduct,youshallnot,
withoutSpectraʹsexpresswrittenconsent:
CopyorreproducetheSoftwareProduct;or
Modify,adapt,orcreatederivativeworksbasedontheSoftware
Productoranyaccompanyingmaterials.
6. DESCRIPTIONOFOTHERRIGHTSANDLIMITATIONS
A. SpectrawillprovideyouwithsupportservicesrelatedtotheSoftware
Product(ʺSupportʺ).SuchSupportwillbeprovidedinaccordancewith
theSpectraMasterSupportAgreement,availablefordownloadand
viewingontheSpectraCorporateWebsite.UseofSupportisgovernedby
thisEULAandSpectraʹsMasterSupportAgreement,
B. Anysupplementalsoftware,code,content,ormediaprovidedtoyouin
thecourseofSupportshallbeconsideredpartoftheSoftwareProductand
subjecttothetermsandconditionsofthisEULA.
C. Spectraretainsallright,title,andinterestinandtotheSoftwareProduct,
andanyrightsnotgrantedtoyouhereinarereservedbySpectra.You
herebyexpresslyagreenottoextractinformation,reverseengineer,
disassemble,decompile,ortranslatetheSoftwareProduct,orotherwise
attempttoderivethesourcecodeoftheSoftware,excepttotheextent
allowedunderanyapplicablelaw.Intheeventthatsuchactivitiesare
permittedbyapplicablelaw,anyinformationyou,oryourauthorized
agent,discovershallbepromptlydisclosedtoSpectraandshallbe
deemedtheconfidentialinformationofSpectra.
D. Youshallnotmodify,sublicense,assign,ortransfertheSoftwareProduct
oranyrightsunderthisEULA,exceptasexpresslyprovidedinthisEULA.
Anyattempttoothersublicense,assign,ortransferanyoftherights,
duties,orobligationswillbevoid.
E. YoumaypermanentlytransferallofyourrightsunderthisEULA,
providedyouretainnocopies.Theotherpartymustagreetoacceptthe
termsandconditionsoftheEULA.
7. ALLRESERVED
AllrightsnotexpresslygrantedhereinarereservedbySpectra.

8. TERM
A. ThisLicenseiseffectiveuntilterminated.Licenseemayterminateitatany
timebydestroyingtheSoftwareProductwithallcopies,fullorpartial,
andremovingallofitscomponentparties.
B. YourrightsunderthisEULAwillterminateautomaticallywithoutnotice
fromSpectraifyoufailtocomplywithanyterm(s)orcondition(s)ofthis
EULA.Insuchevent,nonoticeshallberequiredbySpectratoeffectsuch
termination.
C. UponterminationofthisEULA,youshallceasealluseoftheSoftware
Productanddestroyallcopies,fullorpartial,togetherwithallbackup
copies,modifications,printedorwrittenmaterials,andmergedportions
inanyformandremoveallcomponentpartsoftheSoftwareProduct.
9. INTELLECTUALPROPERTYRIGHTS
A. Spectrashallretainallright,title,andinterestintheSoftwareProductand
toanymodificationsorimprovementsmadethereto,andanyupgrades,
updatesorDocumentationprovidedtoEndUser.EndUserwillnotobtain
anyrightsintheSoftwareProduct,itsupdates,upgrades,and
Documentation,asaresultofitsresponsibilitieshereunder.
B. B.EndUseracknowledgesSpectraʹsexclusiverightsintheSoftware
ProductandthattheSoftwareProductisuniqueandoriginaltoSpectra
andthatSpectraisownerthereof.Unlessotherwisepermittedbylaw,End
Usershallnot,atanytimeduringoraftertheeffectiveTermofthe
Agreement,disputeorcontest,directlyorindirectly,Spectraʹsexclusive
rightandtitletotheSoftwareProductorthevaliditythereof.
10. U.S.GOVERNMENTENDUSERS
TheSoftwareProductandrelateddocumentationareʺCommercialItems,ʺasthat
termisdefinedat48C.F.R.§2.101,consistingofʺCommercialComputer
SoftwareʺandʺCommercialComputerSoftwareDocumentation,ʺassuchterms
areusedin48C.F.R.§12.212or48C.F.R.§§227.7202‐1through227.7202‐4,as
applicable.TheCommercialComputerSoftwareandCommercialComputer
SoftwareDocumentationarebeinglicensedtoU.S.Governmentendusers(a)
onlyasCommercialItemsand(b)withonlythoserightsasaregrantedtoallother
EndUserspursuanttothetermsandconditionsherein.Unpublishedrights
reservedunderthecopyrightlawsoftheUnitedStates.
11. EXPORTLAWASSURANCES
Youmaynotuseorotherwiseexportorre‐exporttheSoftwareProductexceptas
authorizedbyUnitedStateslawandthelawsofthejurisdictioninwhichthe

Productmaynotbeexportedorre‐exported(a)into(ortoanationorresidentof)
